Welcome to KUTV Classifieds (the "Site"). The Site is operated solely by LocalBased.com, Inc., a Utah corporation ("LocalBased")

BY USING THE SITE, YOU AGREE TO BE BOUND BY THE TERMS AND CONDITIONS OF THIS USER AGREEMENT.

1. General Provisions

The material that appears on the Site is for informational purposes only. Despite the efforts of LocalBased to provide useful and accurate information, errors may appear from time to time. Before purchasing goods or services you've read about on the Site, you should confirm with the vendor any information (including the price) that is important to your purchasing decision. LocalBased is not responsible for, and does not guarantee the performance of, any such goods or services.

The Site is a home shopping service that brings buyers and sellers together. Information about a particular home is supplied by the seller, not by LocalBased. The price and other terms of any sale remain subject to direct negotiation between the buyer and the seller. With respect to the foregoing, please note that many times the prices listed by sellers on the Site exclude sales tax, finance charges, and title, license, regulatory, dealer documentary, emission testing and compliance fees, all of which may be added to the advertised price in determining the final sale price of a particular home. Though LocalBased hopes that all who come to the Site will act honorably and treat each other fairly, LocalBased can't verify the information they supply or guarantee the vehicles they offer. When using the Site to find a buyer for your vehicle or a vehicle you can buy, LocalBased urges you to use the same common sense and good judgment you would in selling a car through, or responding to, a classified ad in the newspaper.

Those who offer vehicles for sale over the Site should be prepared to sell the vehicles they advertise at the prices at which, and the terms on which, they advertise them. They must have possession of the actual vehicles listed and the ability to transfer title. To list a vehicle for sale on the Site, sellers are required to provide certain identifying and contact information. The information must accurately identify the seller and the method of contact must permit buyers to communicate directly with the seller without any alteration to the content of their communications. Sell Your Car for free listings are available only to private sellers who want to list their vehicles for sale, consistent with the Sell Your Car terms and conditions. Dealers and others who seek to list more than two vehicles in any 30-day period need to contact LocalBased to make other arrangements. LocalBased reserves the right to deny use of the Site to anyone who does not comply with these requirements or who otherwise uses the Site in manner LocalBased considers inappropriate.

LocalBased respects the privacy of visitors to the Site. Please take a moment to review the Privacy Statement posted elsewhere at the Site. For your convenience, the Site contains links to other websites, not operated by LocalBased, where you can obtain automotive related products and services, including insurance, warranties, financing and inspection services. While LocalBased encourages you to consult such websites, LocalBased cannot guarantee the prices, terms, quality, reliability or performance of the products or services provided by these vendors. LocalBased is not responsible for the products or services these vendors provide. If you choose to purchase an inspection through such a third-party website, remember that an inspection is not a warranty. While inspections can be of significant value in the purchase of a pre-owned car, an inspection is not a guarantee that the inspected car is free from defects or that the inspectors have identified any existing defects. Prior to purchasing inspection services, you should confirm with the inspector the location of the inspection, the price of the inspection and other information you may find important to your decision, such as the scope of the inspection. You are responsible for coordinating and arranging for the inspection. You release LocalBased and its affiliates from any damages that you may incur, and agree not to assert any claims against them, arising from your purchase or use of such third-party supplied products and services.

For your convenience, the Site also contains links to websites operated by realtors that advertise at the Site. Although LocalBased may power some of these realtor websites, LocalBased is not responsible for any of the content that appears on these sites, including, without limitation, promotional contests and sweepstakes offers. LocalBased does not co-sponsor, operate, endorse or guarantee any advertiser sweepstakes or contest offer that may be advertised from time to time at the Site, or that may be accessible through links from the Site, and you release LocalBased and its affiliates from any damages that you may incur, and agree not to assert any claims against them, arising from your entry, participation or acceptance of any prize in such sweepstakes or contest offer.

The used car listings at the Site include vehicles that are shown to be "certified" as meeting certain standards established by manufacturers in connection with their pre-owned vehicle programs. The decision to certify any particular vehicle is made by an individual dealer, and the vehicle information included in the certified vehicle listings at the Site is provided by that dealer. Neither LocalBased nor the manufacturer is responsible for the accuracy of any certified vehicle information or for the decision to certify any vehicle. The Web is an evolving medium. LocalBased may change the terms of this User Agreement from time to time. By continuing to use the Site following such changes, you agree to be bound by this User Agreement, as modified. LocalBased may change, restrict access to, suspend, or discontinue the Site, or any portion of the Site, at any time.

2. Ownership

The Site is made available for your personal, non-commercial use only. The materials on the Site are the property of LocalBased or its licensors, and are protected by U.S. copyright laws, international conventions and other copyright laws. Except as explicitly provided in this User Agreement, you may not distribute, transmit, display, reproduce, modify, create derivative works from, or otherwise exploit any on the materials on the Site. You may display and occasionally print a single copy of any page on the Site for your personal, non-commercial use, but you may not otherwise reproduce any material appearing on the Site without the prior written consent of LocalBased. You may not store any significant portion of, nor distribute copies of, materials found on the Site, in any form (including electronic means), without prior written permission from LocalBased. Requests for permission to reproduce or distribute materials found on the Site should be sent to LocalBased's Customer Service Manager by email (info@LocalBased.com) or by U.S. Mail to: Customer Service Manager, LocalBased.com, Inc., 4626 North 300 West, Suite 350, Provo, Utah 84604. You are free to establish a hypertext link to the Site so long as the link does not state or imply any endorsement or sponsorship of you, your company, or your site by LocalBased. However, without the prior written permission of LocalBased, you may not frame any of the content of the Site, nor incorporate into another website or other service any intellectual property of LocalBased or its licensors. 3. Disclaimer of Warranties and Limitation of Liability

IF YOU RELY ON THE SITE OR ANY MATERIAL AVAILABLE THROUGH THE SITE, YOU DO SO AT YOUR OWN RISK. YOU UNDERSTAND THAT THERE MAY BE DELAYS, OMISSIONS, INTERRUPTIONS, INACCURACIES, AND/OR OTHER PROBLEMS WITH THE INFORMATION, PRODUCTS, AND SERVICES PUBLISHED OVER THE SITE. THE SITE IS PROVIDED TO YOU "AS IS." LocalBased AND ITS AFFILIATES, AGENTS AND LICENSORS CANNOT AND DO NOT WARRANT THE ACCURACY, COMPLETENESS, CURRENTNESS, NONINFRINGEMENT, MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE OF THE INFORMATION AVAILABLE THROUGH THE SITE (OR ANY INFORMATION, GOODS OR SERVICES THAT ARE REFERRED TO, ADVERTISED ON, OR SOLD THROUGH THE SITE). NOR DO THEY GUARANTEE THAT THE SITE WILL BE ERROR FREE, OR CONTINUOUSLY AVAILABLE, OR THAT THE SITE WILL BE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

UNDER NO CIRCUMSTANCES SHALL LocalBased OR ITS AFFILIATES, AGENTS OR LICENSORS BE LIABLE TO YOU OR ANYONE ELSE FOR ANY DAMAGES OTHER THAN DIRECT DAMAGES, INCLUDING, WITHOUT LIMITATION, ANY LIABILITY FOR CONSEQUENTIAL, SPECIAL, INCIDENTAL, INDIRECT, PUNITIVE, EXEMPLARY, OR OTHER DAMAGES OF ANY KIND (INCLUDING LOST REVENUES OR PROFITS, LOSS OF BUSINESS OR LOSS OF DATA) EVEN IF LocalBased IS ADVISED BEFOREHAND OF THE POSSIBILITY OF SUCH DAMAGES. YOU AGREE THAT THE LIABILITY OF LocalBased AND ITS AFFILIATES, AGENTS AND LICENSORS, IF ANY, ARISING OUT OF ANY KIND OF LEGAL CLAIM IN ANY WAY ARISING OUT OF OR OTHERWISE RELATED TO THE SITE SHALL NOT EXCEED THE AMOUNT YOU PAID, IF ANY, TO LocalBased FOR USE OF THE SITE. BECAUSE SOME STATES/JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, SOME OF THESE LIMITATIONS MAY NOT APPLY TO YOU.

4. Registration

To obtain access to certain services at the Site, you will be given an opportunity to register with LocalBased. As part of the registration process, you will select a user name and a password. You agree that the information you supply during that registration process will be accurate and complete and that you will not (i) register under the name of, nor attempt to enter the Site under the name of, another person; nor will you (ii) adopt a user name that LocalBased, in its sole discretion, deems offensive. You will be responsible for preserving the confidentiality of your password and will notify LocalBased's Customer Service Manager at info@LocalBased.com of any known or suspected unauthorized use of your account.

5. Disclaimer

IF YOU RELY ON THE SITE OR ANY MATERIAL AVAILABLE THROUGH THE SITE, YOU DO SO AT YOUR OWN RISK. YOU UNDERSTAND THAT THERE MAY BE DELAYS, OMISSIONS, INTERRUPTIONS, INACCURACIES, AND/OR OTHER PROBLEMS WITH THE INFORMATION, PRODUCTS, AND SERVICES PUBLISHED OVER THE SITE. THE SITE IS PROVIDED TO YOU "AS IS." YOU AGREE THAT THE LIABILITY OF LOCALBASED AND ITS AFFILIATES, AGENTS AND LICENSORS, IF ANY, ARISING OUT OF ANY KIND OF LEGAL CLAIM IN ANY WAY ARISING OUT OF OR OTHERWISE RELATED TO THE SITE SHALL NOT EXCEED THE AMOUNT YOU PAID, IF ANY, TO LOCALBASED FOR USE OF THE SITE. BECAUSE SOME STATES/JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, SOME OF THESE LIMITATIONS MAY NOT APPLY TO YOU.

6. Miscellaneous

This User Agreement has been made in, and shall be construed in accordance with the laws of, the State of Utah. By using the Site, you consent to the exclusive jurisdiction and venue of the state and federal courts in Salt Lake County, Utah in all disputes arising out of or relating to this User Agreement or use of the Site.
